Research Product Purchaser Acknowledgment, Assumption of Risk & Release

Agreement. This Research Product Purchaser Acknowledgment, Assumption of Risk & Release (the “Agreement”) is between the purchaser (“Purchaser,” “you,” or “your”) and Lion Bio-Sciences, together with its owners, members, managers, officers, directors, employees, contractors, affiliates, suppliers, laboratories, agents, successors and assigns (“Lion”). By completing a purchase, you acknowledge and agree to the terms below.

1. Research Use Only

Products offered by Lion are sold solely for lawful laboratory, analytical, educational and scientific research purposes. They are not offered as medications, prescription drugs, compounded drugs, dietary supplements, foods, cosmetics, veterinary products, or products intended to diagnose, treat, cure, mitigate or prevent disease.

• NOT FOR VETERINARY USE.
• NOT FOR INJECTION, INGESTION, TOPICAL APPLICATION OR OTHER ADMINISTRATION TO A HUMAN OR ANIMAL.
• NOT INTENDED TO AFFECT THE STRUCTURE OR FUNCTION OF THE HUMAN OR ANIMAL BODY.
• NOT SOLD FOR SELF-ADMINISTRATION, CLINICAL USE OR PATIENT TREATMENT.

2. Purchaser Representations

By purchasing from Lion, Purchaser represents and warrants that:

• Purchaser is at least 18 years old and legally competent to enter into this Agreement.
• The products are being acquired exclusively for lawful research or analytical purposes.
• Purchaser understands the experimental and research nature of the materials.
• Purchaser will comply with applicable federal, state and local requirements for possession, storage, handling, transport, research and disposal.
• Purchaser will not use, administer, provide or transfer a Lion product for human or veterinary consumption or administration.
• Purchaser will not resell or transfer a product knowing or reasonably suspecting it will be used for an unauthorized purpose.
• Purchaser is responsible for determining whether possession and proposed research use are lawful in Purchaser’s jurisdiction.

3. No Medical Advice

Lion is a research product supplier and does not provide medical diagnosis, treatment, prescribing, dosing instructions or individualized medical advice in connection with the sale of its research products. Information concerning molecular characteristics, chemical properties, published literature, analytical testing or research findings is provided solely for research and informational purposes and shall not be interpreted as instructions or recommendations for human or veterinary use.

4. No Representation of Safety or Effectiveness for Human Use

Purchaser understands that research products may not have been reviewed or approved by the U.S. Food and Drug Administration for human use. Lion makes no representation or warranty that any research product is safe, effective, suitable, sterile, appropriate or approved for human or veterinary administration. A Certificate of Analysis, purity result, identity test or other laboratory result does not constitute FDA approval and does not establish clinical safety, efficacy or suitability.

5. Known and Unknown Research Risks

Research chemicals and peptides may involve known and unknown hazards. These may include risks associated with handling, storage, degradation, contamination, chemical exposure, incompatibility with other substances, accidental exposure, improper laboratory procedures, unauthorized administration and disposal. Purchaser accepts responsibility for understanding and appropriately managing risks associated with the products.

6. Assumption of Risk

To the fullest extent permitted by applicable law, Purchaser voluntarily assumes all risks associated with possession, handling, storage, transportation, transfer, experimentation, disposal, misuse or unauthorized use after delivery. Purchaser specifically assumes the risks resulting from use contrary to product labeling or this Agreement, including any attempt to consume, inject, ingest, administer or otherwise introduce a research product into a human or animal body.

7. Unauthorized Human or Animal Use

Any human or veterinary administration of a Lion research product is outside its intended use and contrary to the conditions under which Lion sells the product. A purchaser who disregards these restrictions acts independently and contrary to Lion’s express instructions.

A “RESEARCH USE ONLY” LABEL DOES NOT AUTHORIZE HUMAN USE. PURCHASER AGREES THAT THE PROHIBITED USES ABOVE ARE MATERIAL CONDITIONS OF SALE.

8. Release and Waiver of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Purchaser releases and agrees to hold harmless Lion from claims, demands, actions, losses, liabilities, damages, costs and expenses arising from or relating to Purchaser’s misuse, unauthorized human or veterinary use, failure to follow warnings, improper handling or storage, alteration or combination with other substances, unauthorized transfer, violation of law, or other use expressly prohibited by this Agreement.

This release is intended to include claims arising from ordinary negligence only to the extent such a release is valid and enforceable under applicable law. Nothing in this Agreement waives or limits liability that applicable law does not permit Lion to waive or limit.

9. Indemnification

To the fullest extent permitted by law, Purchaser agrees to defend, indemnify and hold harmless Lion from third-party claims, losses, liabilities, damages, judgments, penalties, costs and reasonable attorneys’ fees arising from Purchaser’s unlawful use, unauthorized human or veterinary administration, resale or transfer for an unauthorized purpose, modification or adulteration, false representation regarding intended use, or violation of this Agreement or applicable law.

10. Certificates of Analysis and Product Information

Certificates of Analysis and similar documents describe analytical testing of research material only. They are not FDA approvals, prescriptions, medical advice, clinical safety determinations, or evidence that a product is appropriate for human or veterinary use.

11. Separate from Medical Care

Purchasing a Lion product does not create a physician-patient relationship or other healthcare-provider relationship. Any separate relationship with a physician, clinic, telehealth provider, pharmacy or healthcare organization is independent of the purchase. A prescription or treatment plan issued by a healthcare professional does not convert a Lion research product into a prescription medication or authorize that product for human use.

12. Right to Refuse or Cancel Orders

Lion may refuse, cancel or refund any order if it reasonably believes the product is being purchased for human or veterinary administration, the purchaser supplied false information, the proposed use may be unlawful, fulfillment would violate applicable law, or fulfillment would create an unacceptable legal, regulatory or safety risk.

13. Governing Law; Severability

This Agreement is governed by Florida law, without regard to conflict-of-law principles, except where federal law or another jurisdiction’s mandatory law controls. If a provision is held invalid or unenforceable, it shall be enforced to the maximum extent legally permissible and the remaining provisions shall remain effective.

14. Electronic Acceptance & Records

Purchaser agrees that electronic acceptance has the same legal effect as a handwritten signature. Lion may retain records showing the purchaser, account, order number, date and time, agreement version, checkbox selections, electronic signature and other commercially reasonable audit data associated with acceptance.
